Terms of Service

These terms are the agreement between Sawmark (“Sawmark,” “we,” “us”) and the shop that uses Sawmark (“you”). By creating an account or using the service you agree to them.

Accounts

  • Sawmark is for businesses. Access is by invitation from a shop’s owner or admin, or by starting a trial from our website.
  • You must give accurate information and keep it up to date, including your name, email address and shop details.
  • You are responsible for everyone you add to your shop. Choose their roles carefully, remove people who should no longer have access, and keep your sign-in email accounts secure. Activity under your shop’s accounts is treated as yours.
  • Tell us promptly at support@sawmarkhq.com if you think an account has been used without permission.

Plans

  • New shops start on the Free plan. It has no cost and no time limit.
  • Paid plans are Shop and Pro. Every plan includes your whole crew, and the paid plans add document uploads and contract e-signature. Plans are priced per shop, not per person, and otherwise differ only by how many active jobs your shop can have at once: jobs that are sold and not yet complete. Leads, open proposals, jobs on hold, finished jobs and demo jobs do not count. Going over never locks or deletes a job; it only stops your shop booking another until one is finished or you move up a plan. Current limits and prices are shown in the app, under Settings, Billing, and may be updated from time to time.
  • Paid plans are billed monthly through Stripe and renew automatically until canceled. Switching plans in the middle of a month is prorated.
  • You can cancel at any time from the billing page. Canceling keeps your plan until the end of the period you have paid for, after which your shop moves back to the Free plan. Fees already paid are not refunded except where the law requires or where we agree otherwise.
  • If a payment fails and is not resolved, your shop may return to the Free plan limits until it is.
  • A move to a smaller plan is refused while your shop has more active jobs than the smaller plan allows. Finish or pause some jobs first, then switch.
  • Referrals: each shop has a referral link. A new shop that signs up with it, or enters its code before it first subscribes, gets its first 30 days on a paid plan free. When that shop pays for its first month, the referring shop gets one month of its current plan as credit on its account, applied to its next invoices (a shop on Free gets the credit when it subscribes). A shop can't be referred by another shop with the same owner, credit has no cash value, and we may change or end the referral program, or withhold credit gained by abuse.
  • If we change a price, we will tell you in advance and the change will apply from your next billing period.

Your data

  • You own it. Your jobs, estimates, client details, files, photos, notes and everything else you put into Sawmark remain yours. You give us a limited license to host, store, process and display that content only as needed to run the service for you, keep it secure, and provide support.
  • You need the right to use it. You are responsible for having the right to enter your clients’ information into Sawmark and to contact them through the client portal and by email. That includes any consent or notice the law requires where you are.
  • How we handle personal information is described in our Privacy Policy.

The client portal

  • The portal lets your clients open a private link, confirm the last four digits of their phone number, review a proposal, accept it, follow progress and photos, and pick an install day. You decide what each client sees, and you are responsible for the content and messages you send them, and for keeping their phone number on file correct.
  • Anyone who has a client’s link and knows the last four digits of the phone number on file can open it. Share links only with the intended client, and revoke a link if it reaches the wrong person.
  • A proposal accepted in the portal is an agreement between you and your client. Sawmark is not a party to it and is not responsible for its terms, for the work, or for any dispute between you.

Payments between you and your clients

Sawmark records payments; it does not process them. When you log a payment, deposit or refund on a job, Sawmark keeps that entry and shows the balance and payment schedule to you and, in the portal, to your client. Sawmark does not collect, hold or transfer your clients’ money. Arrange payment with your clients yourselves, by whatever method you use. The only payments Sawmark takes are the fees for your plan, through Stripe.

Acceptable use

You agree not to:

  • put unlawful, infringing, deceptive or harmful content into Sawmark or send it to your clients;
  • use the service to harass anyone, send spam, or contact people who have not agreed to hear from you;
  • try to get into another shop’s data, guess client links or phone digits, or bypass the sign-in or plan limits;
  • reverse engineer, copy or resell the service, or build a competing product from it;
  • overload or disrupt the service, for example with automated scraping or by uploading files far beyond ordinary use.

We may suspend access to stop misuse. Where practical we will tell you why and give you a chance to fix it first.

Availability

We work hard to keep Sawmark running, but we do not guarantee it will always be available or error-free. We may take the service down for maintenance, and we will try to do that at quiet times and to give notice of anything planned that is likely to matter. Keep your own copies of anything you cannot afford to lose. You can take an export under Settings, then Data, while the shop is open.

Disclaimers

The service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Sawmark is a management tool. Estimates, cut lists, material and cost figures, and schedules it produces depend on what you enter, so check them before you cut, order, quote or build from them. You are responsible for your work and your business decisions.

Limitation of liability

To the fullest extent the law allows, Sawmark will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, arising from your use of the service. Our total liability for any claim relating to the service will not exceed the fees you paid us in the 12 months before the event that gave rise to the claim. Some places do not allow these limits, so they apply to you only as far as the law permits.

Termination and export

  • You can stop using Sawmark at any time. Cancel the plan from the billing page, then close the shop under Settings, then Shop. Closing the shop is what starts the 30 days.
  • While a shop is open, its data stays. When a shop is closed, we delete that shop’s jobs, clients, files, estimates, and other shop records 30 days later. Cancel the plan first. Take an export under Settings, then Data, before you close the shop.
  • Your Sawmark login is not deleted with the shop. You can delete your own login from Profile. If you are the only owner, deleting the login also closes the shop, and the shop data goes 30 days later. If someone else is also an owner, the shop stays open.
  • Shared material standards are not a shop’s data and are not deleted.
  • We make nightly backups. Deleted data rolls off those backups on their existing schedule, generally within 30 days. We may keep limited records longer where the law requires it.
  • We may suspend or end your access for a serious or repeated breach of these terms, for non-payment, or if the law requires. We will give notice where we reasonably can.
  • Sections that by their nature should survive termination will do so, including those on your data, disclaimers, limitation of liability and governing law.

Changes to these terms

We may update these terms as the product or the law changes. The effective date at the top shows the latest version. For material changes we will give shop owners notice by email or in the app before they take effect. If you keep using Sawmark after that date, you accept the new terms. If you do not agree, you can cancel before then.

Governing law

These terms are governed by the laws of the state where Sawmark is established, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located there, and you and we consent to those courts.
